These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Bionic Systems One (“we”, “our”, or “us”), headquartered in Kerala, India. By accessing our website at www.bionicsystemsone.com or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. About Bionic Systems One

Bionic Systems One is an AI systems company providing AI automation, business intelligence, performance marketing, and custom AI hardware solutions. Our services are designed for businesses and professional entities. We do not provide services to individuals for personal, household, or consumer purposes.

2. Acceptance of Terms

By using this website, submitting a contact form, or entering into a service agreement with us, you confirm that you are at least 18 years of age, have the legal authority to enter into binding agreements on behalf of yourself or your organisation, and agree to comply with these Terms in full. We reserve the right to update these Terms at any time. Continued use of our services after updates constitutes acceptance of the revised Terms.

3. Services

Bionic Systems One provides bespoke AI and technology services including but not limited to: AI automation systems, business intelligence platforms, performance marketing campaigns, and custom AI hardware. The specific scope, deliverables, timelines, and pricing for any engagement are defined in a separate Service Agreement or Statement of Work signed by both parties. These Terms apply in addition to, and do not supersede, any such agreement.

4. Enquiries and Contact Forms

Submitting a contact form or enquiry through our website does not constitute a binding contract or commitment from either party. It initiates a conversation. No service obligation arises until a formal written agreement is executed. We reserve the right to decline any enquiry or engagement at our sole discretion.

5. Intellectual Property Ownership

All content on this website — including text, graphics, logos, animations, source code, design systems, and underlying architecture — is the exclusive intellectual property of Bionic Systems One and is protected under applicable copyright, trademark, and IP laws globally. You may not reproduce, copy, distribute, reverse-engineer, or use any content from this website without our prior written consent. With respect to client engagements: unless explicitly agreed otherwise in a signed Service Agreement, all custom-built systems, models, pipelines, architectures, and tools created by Bionic Systems One remain our intellectual property. Clients receive a perpetual, non-transferable licence to use the deliverables for their own internal business operations. Any pre-existing IP, proprietary data, or tools brought into an engagement by the client remain the client's property. Neither party acquires rights to the other's pre-existing IP through the course of an engagement.

6. Open Source Licence Compliance

Bionic Systems One builds systems that may incorporate open source software components. We are committed to full compliance with all applicable open source licences including MIT, Apache 2.0, GPL, LGPL, and others. Where open source components are used in client deliverables, we disclose this in the relevant technical documentation. Clients are responsible for ensuring their use of any delivered system complies with the open source licences of its components. We do not knowingly incorporate open source code in ways that conflict with its licence terms. If you believe any component of our work violates an open source licence, please notify us immediately at sales@bionicsystemsone.com and we will investigate and remediate promptly. We do not use GPL-licenced components in proprietary client deliverables without explicit client consent and appropriate legal review.

7. Data Protection and Security

Bionic Systems One takes data protection seriously across all engagements. We comply with applicable data protection regulations including India's Digital Personal Data Protection Act 2023 (DPDPA), the EU General Data Protection Regulation (GDPR) where applicable, and the California Consumer Privacy Act (CCPA) where applicable. For client engagements involving personal data: we act as a data processor on behalf of clients who are data controllers, processing personal data only according to documented client instructions, implementing appropriate technical and organisational security measures including encryption in transit and at rest, never retaining client data beyond the scope and duration of the engagement, and signing a Data Processing Agreement (DPA) upon request. We do not sell, share, or use client data for any purpose other than delivering the agreed service. All team members with access to client data are bound by confidentiality obligations. In the event of a data security incident affecting client data, we will notify the client within 72 hours of becoming aware, provide a full incident report, and cooperate fully with any regulatory investigations.

8. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, business strategies, client data, technical systems, or other sensitive information shared during the course of an engagement. This obligation survives the termination of any service agreement. We apply strict internal controls, access restrictions, and non-disclosure obligations to all personnel handling client information.

9. Payment Terms

Payment terms for specific engagements are outlined in the relevant Service Agreement. Unless otherwise agreed: invoices are due within 14 days of issuance; late payments may attract interest at 2% per month; we reserve the right to suspend services for overdue accounts. All fees are exclusive of applicable taxes unless stated otherwise. Refunds are subject to the terms of the individual service agreement.

10. Prohibited Use

You agree not to: use our website or services for any unlawful purpose; attempt to gain unauthorised access to our systems or data; scrape, copy, or reproduce content from our website without permission; use our services to build competing products or reverse-engineer our systems; misrepresent your identity or affiliation when contacting us; transmit malware, spam, or harmful code through any channel we operate. Violation of these terms may result in immediate termination of services and legal action.

11. Disclaimer of Warranties

Our website is provided on an "as is" and "as available" basis. While we strive for accuracy and reliability, we make no warranties — express or implied — regarding the completeness, accuracy, or availability of the website or its content. Results achieved for one client do not guarantee similar results for others, as outcomes depend on many variables outside our control.

12. Limitation of Liability

To the fullest extent permitted by law, Bionic Systems One shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services — including loss of revenue, loss of data, loss of business opportunity, or reputational harm. Our total liability in any circumstance shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Bionic Systems One, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including legal fees) arising from: your breach of these Terms; your misuse of our website or services; your violation of any applicable law or third-party rights; or any false or misleading information you provide to us.

14. Third-Party Links and Services

Our website may contain links to third-party websites or reference third-party tools and services. These are provided for convenience only. We do not endorse, control, or accept responsibility for the content, privacy practices, or availability of third-party sites. Your use of third-party services is governed by their own terms and policies.

15. Termination

We reserve the right to terminate or suspend your access to our website or services at any time, without notice, for conduct that violates these Terms or is harmful to others. Upon termination, all payment obligations for work completed remain in force. Provisions relating to IP ownership, open source compliance, data protection, confidentiality, liability, and indemnification survive termination indefinitely.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to binding arbitration in Kerala, India, under the Arbitration and Conciliation Act, 1996. For clients in the EU or UK, nothing in these Terms affects your statutory rights under applicable consumer or business protection law.

17. Changes to These Terms

We may revise these Terms at any time. We will update the "Last Updated" date at the top of this page when changes are made. It is your responsibility to review these Terms periodically. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
